(Starting On Monday, July 27th)
(a) Services.
Client desires for Edigitize, Inc., to render digitizing, vectorizing, designing, programming, authoring, marketing and/or application services.
Edigitize, Inc., reserves the right to refuse service to any client. Edigitize, Inc., will not process designs that contain nudity or are sexually explicit.
(b) Warranty.
Edigitize, Inc., provides a satisfaction guarantee on each design . If a customer is not completely happy with the final product, revisions will be made or a
full refund of the purchase price will be given. Edigitize, Inc., makes no other warranty or representation regarding the services to be performed, derived
benefits, revenues or profits and expressly disclaims any implied warranties or conditions of merchantability, fitness for a particular purpose or
non-infringement to the extent permitted by law.
(c) Confidentiality.
Edigitize, Inc., will exercise due diligence in protecting information, and copyrighted designs. The client agrees to allow Edigitize, Inc., to use their
copyrighted designs for demonstration and promotion of Edigitize's products. Exceptions preventing use of designs by Edigitize, Inc., may be submitted in
writing.
(d) Liability.
Notwithstanding anything else in this agreement or otherwise, Edigitize, Inc., and any affiliated company will not be liable with respect to any subject
matter of this agreement under any claim of breach of contract, negligence, strict liability or other legal or equitable theory, for any incidental or
consequential damages, including, without limitation, loss of profits or revenue, loss of use of a product, cost of capital, cost of substituted services or
products, down-time costs, labor costs, market shares, or claims of customers to the full extent permitted by law, even if advised of the possibility of such
damages by Client.
(e) Disclaimer.
(i) Client attests that all material including written text, images, photographs, pictures, music, codes, programs, software and related documentation and
other copyrighted material requested or provided to Edigitize, Inc., is free of restriction for the intended purposes, and the publication, use, and otherwise
distribution of this material by Edigitize, Inc., does not constitute infringement of copyright. (ii) In the event that Edigitize, Inc., is forced to defend
itself against any civil or legal actions resulting from or caused by the Client's business for any reason including but not limited to copyright and other
information related to this agreement, Client agrees to pay for all related costs including attorneys fees, Edigitize's fee and other expenses and penalties.
(f) Financial Terms.
When you submit a new order, your credit card is authorized for the full amount of the order. Upon completion of your order, you have five (5) days to approve
the design or request edits/revisions before your credit card is charged in full for the authorized amount. You may approve the design at any time within five (5) days, at which time your credit card is charged in full for the authorized amount. If you request edits or revisions that do not affect the original price
of the design, payment will be deferred until after the edit/revision is completed and you will have five (5) days from the completion of the edit/revision to
approve the edit/revision or request another edit/revision before your credit card is charged in full for the authorized amount. Edigitize, Inc. reserves the
right to charge your credit card in full for the authorized amount after three (3) edits, even if the order is still in revision. If you request edits/revisions
that affect the original price, your credit card will be charged in full for the original authorized amount and a new charge will be created for your
edit/revision.
All customers must maintain a valid credit card in their profile to be able to submit new orders. Notice of pending credit card expiration will be emailed weekly beginning 30 days prior to your credit card expiration date. If your credit card on file expires, you will no longer be able to submit new orders or edit requests.
Customers may delay payment of orders up to 30 days by requesting credit approval for Net 30 terms by calling 877-349-6586 or emailing admin@edigitize.com. To delay payment of orders, you must select "Bill Me Later" when placing the order. Otherwise, your credit card will be charged in full for the design upon your approval of the completed design. If you have been approved for Net 30 terms, you may pay using credit card, check or money order, however, a valid credit card must be on file regardless of payment method.
Customers on terms receive invoices via email twice per month on or around the 15th and 30th of each month. Invoices list all paid and unpaid orders that have accrued during that billing period. You have the option of paying for any orders at any time within 30 days of the invoice date. Edigitize, Inc. reserves the right to bill your credit card for any designs that are unpaid after 30 days. Each order that remains unpaid after 30 days will be charged a $5 late fee for every 30 day period until it is paid in full. Customers on terms have a $500 credit limit. If your unpaid balance equals more than your $500 credit limit, you will not be able to delay payment on any new orders that are submitted and your credit card will be charged in full once you have approved the completed order.

Edigitize, Inc. Charges Flat Rates For Digitizing Services:
We want to make sure that your file sews correctly and therefore provide some edits for free. We use the following edit/revision policy to make sure you get the file that you need.
Free Edit (N/C) - Repair of any errors in a design that cause it to be inconsistent with the original artwork or instructions; tweaking of a design to make it run more smoothly and efficiently; making simple modifications for other versions like hat or chest; minor increases or reductions in size.
Simple Edit ($15)- Name drops, minor variations of designs, changes in size greater than 20% that do not require complete re-digitizing, other edits such as setting file to sew center out for hats, minimizing details, changing stitch pattern etc.
Complex Edit (Full flat rates apply) - Any file that requires complete re-digitizing such as resizing for jacket backs or making major variations of a design. Resizing a file to specifications greater than a width or height of 4.5" for chest/hat/other designs.
All of our designs are 100% Satisfaction Guaranteed. This means that until you are completely satisfied with your design, we will continue to work with you by providing unlimited free revisions in a timely manner based on your feedback.*
Please keep in mind that a successful embroidery project requires a combination of accurate digitizing, quality materials, and attentive sewing. We strive to do our best on the digitizing of your project. It is up to you to choose the right fabric, needles, thread, and machine settings to run your design. If you are having trouble with a design we'd be glad to offer tips to help with the sewing process. Other resources are available to you as well, as shown on our resources page.
*Our offer for unlimited free revisions is, of course, subject to our edit/revision policy.If you have placed an order with Edigitize and you are not satisfied with the result, we ask that you first give us a chance to resolve the problem through our edit/revision process.
